Terms & Conditions

General
These Terms and Conditions of Sale shall apply and shall take precedence over Buyer’s additional or different terms and conditions. Buyer’s purchase of our products hereunder represents acceptance of these Terms and Conditions of Sale. No change or modification of any of the Terms and Conditions of Sale shall be valid or binding on either party unless in writing and signed by one authorised representative of each party.

Orders
All orders become legally effective with the written or email order acknowledgement of Estella Bartlett, and in the absence thereof upon acceptance of delivery at the latest. Any cancellation or orders should be made within 5 days of receipt of the order acknowledgement.
All orders are accepted on the condition that goods will be resold through the customer’s own retail premises or website, where approved, and not sold on or used in any manner other than that generally held to be for resale to members of the public through retail premises or customer’s own website, where approved.

Carriage Charges
All delivery charges will be included on invoice unless the Buyer chooses to use their own method of transport. Delivery dates will be confirmed along with order acknowledgment. The goods travel at the risk of the Buyer.

Quality Statement
The seller should be made aware that each item ordered may vary slightly in size, colour and shape due to the nature of hand-made product.

Terms of Payment
All initial orders to be paid for in advance. Subject to due diligence, a credit account may be approved for subsequent orders. Unless agreed otherwise, credit terms are 30 days from date of invoice.

Warranty
The goods are warranted against manufacturing defects in materials and workmanship for a period of 12 months. Buyer will thoroughly examine all deliveries without delay. In case of defects Buyer must make any claim in writing within 7 days after receipt of delivery, and include a detailed description of the defect. Any later claim will only be considered if the delay was due to circumstances beyond the Buyer’s control. Otherwise the delivery is approved.

Returns
Must be authorised in writing by the Seller and must be in re-saleable condition.

Delivery Discrepancies
The Seller must be notified of any delivery discrepancies with 7 days of receipt of delivery.

Point of Sale Material
All display units supplied free of charge to the retailer by Estella Bartlett remain the property of Estella Bartlett and are to be used to display Estella Bartlett products only.

Retention of Title
Ownership of the goods delivered will not pass to the buyer until goods have been paid in full. The Buyer grants the Seller, its agents and employees an irrevocable licence at any time to enter any premises where the goods are stored in order to exercise its right of re-possession.

Disputes
These terms and conditions are governed by the laws of England and Wales. In the event of any disputes between the buyer and the Seller, the parties irrevocably submit to the jurisdiction of the English Courts.

By accepting this order the Buyer confirms that they have read and understood and hereby agree to abide by the above Terms and Conditions of Sale.
